Terms of sale

These terms apply to all sales of used equipment by PHARMA-PLANTA Termelő és Kereskedelmi Korlátolt Felelősségű Társaság (trading as PharmaPlanta) unless we have agreed otherwise in writing.

Business customers only

We sell exclusively to businesses, public bodies and other professional buyers. We do not sell to consumers, and consumer protection rules therefore do not apply to our sales.

Offers and prices

Machines are listed with the indication “price on request”. Prices we quote are net, exclusive of VAT, ex works at the location stated for the machine, and are valid for the period stated in the quotation. Listings on this website are an invitation to enquire, not a binding offer, and remain subject to prior sale.

VAT is charged in accordance with Hungarian and EU law. For intra-Community supplies to a customer with a valid VAT identification number, and for exports outside the European Union, the applicable exemptions are applied once the required evidence of dispatch is available.

Condition of the equipment

All equipment is used unless expressly described otherwise. It is sold in the condition in which it stands and can be inspected, with all faults apparent at inspection. Descriptions, photographs, technical data, capacities and year of manufacture are given to the best of our knowledge, largely on the basis of manufacturer documentation and our own examination, and are intended as a general description rather than as warranted characteristics.

We encourage inspection before purchase, and we will arrange access for you or for an inspector appointed by you. Where a machine has been overhauled by us, the scope of that work is described in the quotation, and only that described scope is warranted.

To the extent permitted by law, statutory warranty rights for defects are excluded on sales of used equipment between businesses. This exclusion does not apply to defects we have fraudulently concealed, to any guarantee we have expressly given in writing, or to liability for death, personal injury or damage caused intentionally or by gross negligence.

Order, payment and retention of title

A contract comes into existence when we confirm your order in writing. Unless agreed otherwise, payment is due in full before dispatch or collection. Bank charges are borne by the payer.

The equipment remains our property until the purchase price has been received in full. Until then it may not be resold, pledged or removed from the agreed location without our written consent.

Collection, dismantling and transport

Unless the quotation states otherwise, the equipment is sold ex works and the buyer arranges collection. Where we have quoted for dismantling, packing, loading or transport, those services and their timing are set out in the quotation.

Collection dates given by us are estimates. Where a machine is still installed and in production at its current site, the dismantling date depends on the seller’s own schedule, and we will keep you informed of any change.

Risk passes to the buyer when the equipment is handed over to the carrier or collected, whichever is earlier.

Documentation

Where documentation exists — manuals, drawings, protocols, certificates — it is handed over with the machine. The documents ticked on a machine’s page are those we hold. We do not undertake to obtain documentation that does not exist, and the absence of documentation does not constitute a defect where the listing did not state that it was available.

Regulatory compliance

Used equipment is sold as it stands. It is the buyer’s responsibility to satisfy itself that the equipment is suitable for its intended use and complies with the regulatory, safety and machinery requirements applicable at the place of installation, including any conformity assessment, qualification or validation required after relocation.

Consignment sales

Some equipment is offered on behalf of its owner. This is stated in our quotation where it applies. In such cases the sales contract may be concluded directly between the owner and the buyer, and we act as intermediary on the terms agreed separately with each party.

Confidentiality and non-circumvention

Where we introduce a buyer to equipment offered by a principal, both parties undertake not to bypass us in respect of that equipment or that principal. The specific terms are set out in the separate declaration we provide with such enquiries.

Governing law and jurisdiction

These terms are governed by Hungarian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts competent for Szeged, Hungary, have exclusive jurisdiction over disputes arising from our business relationship, provided the buyer is a business.

Should any provision be or become invalid, the remaining provisions stay in force.
